1. Acceptance of Terms

By creating an account or using nePlay, you confirm that you have read, understood, and agree to comply with these Terms, our Privacy Policy, and our Child Safety Standards & Abuse Prevention Policy.

2. Eligibility

You must be at least 13 years old (or the minimum legal age required in your country) to use nePlay. By using the Services, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate and up-to-date information. nePlay reserves the right to suspend or terminate accounts that violate these Terms.

4. User Content and Music

4.1 Ownership: You retain ownership of the content you create and upload to nePlay.

4.2 License to nePlay: By uploading or posting content, you grant nePlay a non-exclusive, worldwide, royalty-free license to host, store, reproduce, distribute, display, and promote your content within the Services.

4.3 Music Uploads and Usage: If you upload music to the platform, you represent and warrant that you own the exclusive rights to the audio or have obtained all necessary licenses. Music undergoes a review process. If approved, other users may use your sound to produce reels.

4.4 Admin-Uploaded Music: nePlay administrators may upload music from artists who have granted us explicit permission. Users are granted a limited, non-exclusive license to use this admin-uploaded music solely within the nePlay platform to create reels.

4.5 Artist Badges: nePlay awards badges to verified artists. Verification may require linking third-party accounts, such as YouTube Music. nePlay reserves the right to issue, deny, or revoke badges at its sole discretion.

4.6 Content Restrictions: You must not upload or share illegal, harmful, misleading, abusive, or sexually explicit content, or content that promotes violence, violates intellectual property rights, or involves child sexual abuse or exploitation. Child sexual abuse and exploitation (CSAE) is strictly prohibited and is addressed in our Child Safety Standards & Abuse Prevention Policy.

5. Copyright and DMCA Policy

nePlay respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA) and applicable international copyright laws.

5.1 Submitting a Takedown Notice: If you believe that content on nePlay infringes your copyright, submit a written notice to our Designated Copyright Agent containing:

• A physical or electronic signature of the copyright owner or authorized representative.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the infringing material on nePlay to be removed, including specific URLs or usernames to help us locate it.
• Your contact information (name, address, phone number, email).
• A statement of good faith belief that the use is unauthorized.
• A statement under penalty of perjury that the information is accurate and you are authorized to act.

5.3 Counter-Notice Procedure: If your content was removed by mistake or you hold the rights to use it, you may submit a Counter-Notice to our Agent including your signature, identification of the removed material, a statement under penalty of perjury of good faith belief in the mistake, your contact info, and consent to jurisdiction.

5.4 Repeat Infringer Policy (3-Strike Rule): nePlay maintains a strict repeat infringer policy. If a claim is found valid, the content is removed, and the uploading user receives a copyright strike.

• Strike 1 & 2: Content removal and formal warning.
• Strike 3: Accumulating 3 strikes results in permanent account disablement.

Users may appeal a strike by contacting support with proof of ownership. nePlay’s decisions on appeals are final.

6. Prohibited Conduct

You agree not to use nePlay for unlawful purposes, attempt unauthorized access, interfere with platform security, engage in scams or fraud, or harass, threaten, or abuse other users.

7. Live Streaming, Coins, and Virtual Gifts

Live streaming features are subject to additional moderation rules. Virtual coins and gifts have no real-world monetary value and are non-refundable unless required by law. nePlay may modify or discontinue virtual items at any time.

8. Payments and Subscriptions

Payments are processed by third-party providers. nePlay does not store full credit or debit card details and is not responsible for payment errors caused by third-party providers.

9. Intellectual Property

All nePlay trademarks, logos, software, and platform designs are owned by nePlay or its licensors. You may not copy, modify, distribute, or exploit any part of the Services without written permission.

10. Moderation and Enforcement

nePlay reserves the right to remove or restrict content, suspend or terminate accounts, and report violations to authorities. nePlay is not obligated to monitor all content but may do so at its discretion.

nePlay has zero tolerance for child sexual abuse and exploitation (CSAE). Where we become aware of such content or conduct, we remove it, permanently ban the accounts involved, and report it to the appropriate authorities, including law enforcement and recognised child-protection organisations. 11. Account Termination and Data Deletion

You may stop using nePlay at any time by navigating to Settings → Delete Account. Once confirmed, the account is scheduled for permanent deletion and cannot be undone. Data is soft-deleted immediately and permanently erased within 30 days, unless retention is required for legal, security, or regulatory obligations (such as enforcing a 3-strike ban).

12. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available.” nePlay does not guarantee uninterrupted or secure operation. nePlay shall not be liable for indirect, incidental, or consequential damages, loss of data, or user-generated content.

13. Indemnification

You agree to indemnify and hold harmless nePlay from any claims arising from your use of the Services, your content, or your violation of these Terms.

14. Governing Law and Changes

These Terms are governed by and construed in accordance with the laws of Nepal, without regard to conflict of law principles. If you access nePlay from another country, you may also have rights under mandatory laws applicable in that country, and nothing in these Terms limits those rights. nePlay may update these Terms from time to time, and continued use of the Services constitutes acceptance of the updated Terms.

15. Grievance and Complaints

In line with applicable Nepali regulations, nePlay provides a grievance mechanism to receive and address complaints regarding content, conduct, or any violation of these Terms. You can contact the nePlay Safety Team at safety@neplay.app. We aim to acknowledge complaints promptly and resolve them within a reasonable time. Where a grievance identifies content prohibited under applicable Nepali law, or where a competent authority validly instructs us to remove such content, we will remove it within 24 hours as required by law.
